Board Members’ Responsibilities

Nonprofit organizations, from recreation centres to food banks to cancer charities, would not exist if not for the dedication of board members who volunteer. They are required to be in the best interests and disclose any potential conflicts of interests that could undermine an objective decision-making process.

The most passionate, enthusiastic board members will be your greatest advocates and ambassadors. They should actively promote the organization in their personal and professional networks, attempting to ignite the same enthusiasm in others. This means spreading the word about your work, attending events, and helping to support the mission through their donations.

As the board’s eyes and ears, they should review and revise business strategies to ensure they are robust and flexible as well as aligned to the organization’s overall goals. This includes assessing risks such as financial, legal, operational and reputational threats and minimizing them.

This is one of the most crucial tasks for board members to take on and requires a great deal of time and energy. The board must identify the major dangers that require attention and then prioritize them within the context of the overall strategy of the business.

The board should be aware of state-specific “Sunshine Laws” and other regulations that impact the way that nonprofits conduct business and should be able to communicate what these laws mean for the organization’s day-today operations. It is also crucial that the board has a good understanding of the company’s tax status and its implications.
